Terms of use of the Ulteem service provided by meetic

Introduction

These Terms of Use are the property of Ulteem, a service provided by meetic. Consequently, and without limitation, any dissemination, exploitation, representation, reproduction or use, whether partial or total, on any medium, of these Terms of Use, other than for strictly personal purposes, requires meetic's prior authorisation. Failure to obtain such authorisation shall render the infringing party liable to criminal and civil prosecution.

Ulteem, a service of the Meetic Corporation, is a dating service for people. It offers to bring its members together by using psychological matching after taking an exclusive test - the Ulteem Test - which is accessible to Ulteem Members on the internet. Certain functionalities of the Ulteem services are accessible for free whilst other functionalities are paid for by the members who have signed a 1-month, 3-month or 6-month subscription package. The exception would be special promotions for a limited time reported when signing up for membership.

We ask you to carefully read the Terms of Use below before participating with Ulteem, as an Ulteem Member, in the development of a responsible and high quality site. In becoming a Member of Ulteem, you undertake to comply with these Terms of Use. If you do not accept these Terms of Use, you should not register with Ulteem. Registration for one or more Services, as well as use of this site, implies full and complete acceptance of these Terms of Use by the Member. By ticking the box containing the words "I certify that I am at least 18 years of age and that I have read the Ulteem service Terms of Use" appearing at the bottom of the registration page, in order to confirm registration, you acknowledge that you are bound by all clauses of these Terms of Use. Any specific term or condition with regard to a promotion will be subject to validation by the member when he or she subscribes.

ARTICLE 1. DEFINITIONS

 

The list of words below, which start with a capital letter, have been defined for the purposes of these Terms of Use as follows:

" Ulteem " refers to the group of Services the purpose of which is to facilitate on-line meetings between people, for personal, leisure and non-business purposes.

" The Ulteem Test " refers to the psychological test accessible to Ulteem Members. The Ulteem Test is at the core of the psychological matching service.

" Results of the Ulteem Test " refers to the results generated at the end of the Ulteem Test in the form of a personal report accessible by Ulteem Members.

" Service(s) " refers to the entirety of the Services accessible to Ulteem Members, whether paid or unpaid.

" Member(s) " refers to any or all validly registered users of the Ulteem service who have or have not paid to use Ulteem.

" Terms of Use " refers to this agreement.

 

ARTICLE 2. Access and registration for meetic's Ulteem Services

 

2.1 Terms of access and registration

You shall be responsible for the equipment (computer, software, telecommunications systems, etc.) used to allow access to the Services and for payment of the telecommunications costs incurred by the use thereof.

To be an Ulteem Member, you must be at least 18 years of age and complete all compulsory fields appearing on the registration forms.

You guarantee that all of the data supplied by you is accurate and true. You undertake to immediately inform Ulteem in the case of a change in any of the information supplied by you upon registration, or, as appropriate, to update these changes yourself in your private pages on the Ulteem Site.

When the conditions required for registration are met, you will be given a login name (provided by you) and a password. These are strictly private and confidential and must not be passed on to or shared with any third parties.

Ulteem allows its Members who so desire, to indicate that their profile has been "certified" (hereinafter, the Certified Profile(s)), i.e. the member has given Ulteem a written and sworn affidavit wherein he/she ensures that his/her true identity was indicated in his/her profile, which includes his/her: age, nationality, city of residence, marital status at the time of the statement. This is to inform other Members of his/her specific desire to have this information and these statements perceived as true and sincere.

If you disseminate or use these elements in a manner deemed contrary to their original purpose, Ulteem will close your account.

You shall be solely liable for the use of this identification information by third parties or for the actions or statements made through your account, whether these be fraudulent or not. You shall absolve Ulteem of any liability for all claims in this respect. In addition, as Ulteem is not under an obligation to check the identity of every person registered with its Services and does not have the technical means to do so, Ulteem shall not be liable in the event your identity is used by someone else or in the event false declarations are made, including in a Certified Profile; you shall be exclusively responsible therefor. If you have reason to believe that a person is using your identification information or account, you must inform Ulteem immediately.

If you wish to sponsor a friend and you provide Ulteem with the contact details of said friend, you must have obtained the prior consent of this friend for Ulteem to process his or her data that will be used solely in order to send an e-mail informing him/her of Ulteem and its Services. The said message is addressed in the name and in the account of the Members having provided Ulteem with their personal data. In such a case, such information shall be provided by you freely and voluntarily and under your sole responsibility.

For security and quality purposes, Ulteem will deactivate the accounts of Members who have not used the Service for a period of six (6) months or more, and for whom no subscription remains valid. The six-month period referred to above shall commence on the date that the subscription term expires.

 

2.2 Right of withdrawal

In accordance with Article L. 121-20 of the French Consumer Code, you are informed that you may enjoy a period of seven calendar days from the time you accept the Services to exercise your right of withdrawal, without penalty and without the need to provide any reason. However, in accordance with Article L. 121-20-2, 1° of the French Consumer Code, the right of withdrawal may no longer be exercised once you have accessed the Services concerned as you will be considered to have waived your right of withdrawal.

 

ARTICLE 3. Use of Ulteem

 

Upon registration, providing the necessary subscription forms have been completed, you may access the Services available on Ulteem. Prices and terms of payment for the Paid Services can be found under the Article "Prices and Terms of Payment" of these Terms of Use, which can be consulted at any time via the Ulteem site during the presentation or the use of the Paid Service(s) that you wish to access, as well as the respective price(s) of these Services.

 

3.1. Obligations of Ulteem

Ulteem assures the remote and electronic provision of a virtual dating site on the Internet which offers psychological matching to members who opt to take a psychological test, the Ulteem Test, which belongs exclusively to Ulteem.

Ulteem's purpose is not to advise on or broker either marriage or long-term relationships, irrespective of the Member's reasons for registering. Ulteem's activity does not include organising off-line meetings, supplying access to the Internet, or providing an electronic communication service to the public. Consequently, Ulteem has no legal obligation to identify Members when they connect to the Ulteem Internet site or to monitor content, information or declarations published by Members. Because Ulteem is technically unable to provide such services, Ulteem shall not identify Members or moderate the content that they publish solely under their own responsibility.

Ulteem cannot be held liable for false declarations made by a Member, including in the Certified Profile, for which Members are solely responsible. Therefore, it is imperative that Members take certain precautions when arranging to meet up with another Member. Ulteem assumes no responsibility for meetings between Members of Ulteem, on Ulteem or during meetings between Members and/or non-Members as a consequence of the use of the Ulteem site and Services. In addition, on a first date, it is recommended that you tell someone close to you and choose a public place (café, pub, restaurant etc.).

 

3.2 Obligations of the Member

The provisions of this Article shall apply without prejudice to the Article "Termination".

When using the Services, you undertake in particular to comply with the laws in force, the rights of third parties and these Terms of Use.

 

3.2.1. General obligations:

You must comply with the following general obligations:

  • To act fairly in respect to Ulteem and other Members.
  • To respect the intellectual property rights relating to content supplied by Ulteem and by other Members; and.
  • To understand that other Members define the boundaries of their privacy and that it is their responsibility to communicate to Ulteem and to other Members such personal information, the dissemination of which they consider cannot cause them any harm.

 

3.2.2. Essential obligations:

You must comply with the following essential obligations:

  • Not to use Ulteem for professional, commercial or profit-making purposes (advertising, canvassing, etc.) or for any non-private purposes.
  • Not to use Ulteem for the purposes of soliciting or prostitution.
  • Not to post, disseminate, or broadcast, in any form whatsoever, inaccurate or false information or content.
  • Not to make comments on, propagate or disseminate, in any form whatsoever, content that contravenes the rights of others or that is defamatory, injurious, obscene, offensive, violent or violence inducing, political, racist or xenophobic and, in general, any content that is contrary to the purpose of Ulteem, its current rules and laws in force or acceptable norms and standards. In particular, photographs, videos and any other information in terms of data or files supplied by a Member of Ulteem must be decent and refer exclusively to the Member or to a third party from whom the Member has expressly obtained consent under the sole responsibility of the Member concerned.
  • Not to mention on the Ulteem web site any personal information provided by an Ulteem Member (e-mail address, postal address, telephone number, etc.) enabling a Member to contact another Member without using Ulteem.
  • Not to post, disseminate or broadcast in any form whatsoever information or content that has the effect of diminishing, disorganising or preventing normal usage of the Services, or of interrupting and/or slowing down normal circulation of communications between Members through the Services, such information comprising, for example, software, worms, viruses, software bombs, mass mailing, etc.
  • Not to post, disseminate or broadcast in any form whatsoever information or content that incorporates links to third-party websites that are illegal in character, contrary to what is generally acceptable and/or not in accordance with the principles of Ulteem.
  • To use your password and/or ID only for the purpose of authentication for the Services. In this regard, you must not, without limitation, communicate, disseminate, share or make accessible, in any way, your password and/or ID to any third party.
  • To ensure that the personal data of your entourage is communicated legally and without risk of harm. You must thus obtain the prior consent of said entourage to receive, on your behalf, an e-mail from Ulteem; and.
  • To use the Services in accordance with the purpose set out in these Terms of Use.

Failure to comply with the Essential Obligations as set out above shall constitute a serious breach of your obligations. Without prejudice to the provisions of the Article "Termination", if you fail to comply with one or more of these Essential Obligations, Ulteem will be entitled to terminate the agreement and will definitively delete the account of the Member concerned.

 

ARTICLE 4. Prices and terms of payment

 

By using the Paid Services, you are deemed to have taken out a Subscription. You can register either by credit card or cheque (on the Internet or by telephone).

Prices and terms of payment for the various Paid Services are set forth below and are constantly accessible on the Ulteem site, at the latest, from the time of presentation or use of Paid Service(s) that you wish to access, as well as their respective charge(s).

The prices shown are in UK pounds (GBP) and include all taxes.

Subscription will be effective almost as soon as the credit card transaction has been approved or the cheque has been collected.

If a Subscription is extended for an indefinite period, the monthly renewal shall be effected in accordance with the manner of payment originally chosen by you, at the monthly price rate of the Subscription originally taken out. You may terminate the extended Subscription at any time. Termination shall take effect at the end of the one-month period covered by the last monthly invoice

You may terminate your Subscription at any time by notifying Ulteem.

 

ARTICLE 5. Privacy and protection of Member data

 

Ulteem upholds the strictest French and European standards with respect to the protection of privacy and of personal data, and has made a declaration to the French data protection authority (Commission Nationale de l'Informatique et des Libertés - CNIL) under number 1107043.

Some information, comments or content (photographs) that you optionally provide may possibly, under your responsibility and on your initiative, reveal your ethnic origin, nationality, religion and/or sexual orientation. By providing such information, on an optional basis, you manifest your intention and, consequently, expressly consent to, and take sole responsibility for, the processing of this said "sensitive" data by Ulteem, and freely take exclusive responsibility therefor.

Members may access or request access to their personal information in order to have it modified or deleted or to forbid Ulteem from using it by writing to Ulteem at BP 109, 92106 Boulogne Cedex or by filling in the contact form, clearly specifying their personal login information.

Members may, at the time of registration or at any time thereafter, request to receive and, subsequently, request without charge via Ulteem to cease to receive, the Ulteem newsletter and/or promotional offers sent to them by e-mail by Ulteem (a meetic™ service) and/or meetic's partners. The rights and warranties of Ulteem Members comply inter alia with French Data Protection Act no. 78-17 dated 6 January 1978, as amended by Act no. 2004-801 dated 6 August 2004 transposing into French law EU Directive 95/46/EC dated 24 October 1995 on the protection of individuals with regard to the processing of personal data and privacy within the European Union and the French Act on "confidence in the digital economy", no. 2004-575 dated 21 June 2004 (article L. 33-4-1, as amended, of the Post and Electronic Communications Code and the new article L. 121-20-5 of the French Consumer Code) transposing into French law EU Directive 2000/31/EC dated 8 June 2000 on electronic commerce and EU Directive 2002/58/EC dated 12 July 2002 on the protection of personal data and privacy in electronic communications.

 

5.1. When and why do we gather information about you?

Members are asked to supply information about themselves when they register with the Service, participate in a contest, respond to a survey or acquire a Subscription. Certain items of information are mandatory in order to gain access to the Services.

 

5.2. What type of information do we gather?

Personal information gathered by Ulteem can include your name, postal and/or e-mail address, bank details, information about your physical appearance, photographs or videos showing you, your personal values, your answers to the Ulteem Test, your philosophy and religion, your ethnic origin, your interests and your use of the Service.

Furthermore, certain non-personal information is also gathered, such as the version of yours and any other visitor's web browser (Netscape, Internet Explorer, etc.), the operating system (Windows 98, Mac Os, etc.) and the IP address of the computer from which you are visiting the site.

Ulteem uses cookies, designed to store information used to identify Members while they are browsing on the Ulteem Internet site, in order to allow Members to continue browsing without having to re-enter this information for each new page. Members may always prevent the use of cookies by modifying the options of their web browser. To obtain further information about this, please refer to the browser-specific advice on option modification, which is accessible on the "Your Traces" section of the website of the French data protection authority (CNIL): www.cnil.fr.

 

5.3. Who has access to your information?

1. The information gathered about you when you register with Ulteem and subscribe to our Services is used to offer you our different Services. All precautions have been taken on our databases to archive your information in a secure environment. Only a small number of our employees have access to your information, which is only accessible in case of necessity. The personal information you provide at the time of registration, which does not comprise your personal ad and your profile, will not be accessible by third parties, nor passed on, sold or exchanged, except in the cases mentioned below and subject to your prior information and agreement, or in assumption of your agreement thereto.

2. We may send you promotional offers from some of our partners, subject to your explicit and informed consent given during registration, unless you oppose it during your registration or at any moment thereafter. If you do not wish to receive any special offers by from Ulteem or our partner companies let us know when you subscribe, or alternatively at any time by clicking on "My Account" on the Ulteem site, or by post.

3. Ulteem may occasionally share general socio-demographic information that does not include names with selected partners to allow them to target their announcements (by age category, gender, etc.). In this case, we will not send these partners any information that would allow them to identify you.

4. The results of your Ulteem Test, your personal ads, search criteria and profile can be accessed on the Ulteem website. However, other Ulteem Members may only consult them with your express consent.

You expressly authorise Ulteem to reproduce and broadcast the results of your Ulteem Test, your personal ad, search criteria and profile (information, description, photos, videos, etc.) in the cases referred to in these Terms of Use on some or all of the Ulteem Service and/or on all methods of electronic communication (e-mail, Internet), worldwide, throughout the duration of these Terms of Use between you and Ulteem. Furthermore, you expressly authorise Ulteem to transfer the benefits of the above-mentioned rights to its partners and any successors of Ulteem.

If you no longer wish Ulteem or its partners to reproduce or broadcast the results of your Ulteem Test, your personal ad, search criteria and profile, you can terminate your Ulteem account under the conditions provided for in the Article "Termination". Termination will only take effect upon the next update or version of these communication media containing your personal information.

 

ARTICLE 6. Intellectual property

 

6.1 Content broadcast by Ulteem

The trademarks (including Ulteem, meetic), logos, graphics, photographs, animations, videos and texts featuring on the Ulteem site and in the Ulteem Service are the intellectual property of meetic's Ulteem Service, and may not be reproduced, used or represented without the express permission of Ulteem or its partners, under threat of legal action.

The rights of use accorded to you by Ulteem are strictly limited to accessing, downloading, printing and reproducing of all media, and to using these documents for private and personal purposes in the scope and for the duration of membership with Ulteem. Any other use by you is prohibited without the authorisation of Ulteem.

You undertake to refrain inter alia from modifying, copying, reproducing, downloading, disseminating, transmitting, exploiting for commercial gain and/or distributing in any form whatsoever the Services, the Ulteem site pages or software codes for elements comprising the Ulteem Services and site.

 

6.2 Content provided by Members

You hereby grant Ulteem a license to use the intellectual property rights attached to the content provided by you within the scope of use of the Ulteem site.

This license includes, in particular, the right for Ulteem to reproduce, represent, adapt, translate, scan, use for publicity purposes, commercial or non-commercial, sub-license or assign the content concerning you (information, images, description, search criteria, etc.) on all or part of the Ulteem Service (on the Ulteem site, by e-mail) and/or in mailings sent by Ulteem and, generally, on all electronic communication media (e-mail, messenger, SMS, MMS, WAP, Internet).

You expressly authorise Ulteem to modify this content in order to conform to graphic specifications of the Ulteem Services or the other communications media mentioned above, and/or to make this content compatible with its technical processes or appropriate media formats. These rights are awarded on a global basis for the legal duration of these Terms of Use. You are prohibited from copying, reproducing or otherwise using the content relating to other Members for any other purpose other than the explicit requirements for usage of the Services strictly for your own personal and private use.

 

ARTICLE 7. Liability and warranty

 

7.1 Functioning of the Ulteem site and Services

To use the Services, you must have the necessary hardware, software, and configuration required to properly use Ulteem: Internet Explorer 6 Browser or equivalent, Javascript functions enabled, cookies enabled, and pop-ups enabled.

You must have the skills, hardware and software required to use the Internet or, as appropriate, Internet services. You acknowledge that the characteristics and constraints of the Internet mean that the security, availability and integrity of Internet data transmissions cannot be guaranteed

Ulteem does not guarantee that the Services will function if you activate a pop-up blocker tool. In this case, the function should be deactivated before using the Service.

Ulteem does not guarantee that the Services will be usable if your Internet Service provider is unable to provide its Service properly. In this context, Ulteem cannot be held responsible for the non-functioning, non-availability or adverse conditions of usage of the Ulteem site resulting from incorrect hardware, problems experienced by your Internet Service Provider or blockages on the Internet networks or for all other reasons beyond Ulteem's control. Moreover, due, amongst other things, to the specifics of their Internet browser, Members who are AOL users may encounter problems when using Ulteem.

Under these conditions, Ulteem does not guarantee that the Services shall function without interruption or error. In particular, the use of the Services may be interrupted at any time for the purposes of maintenance, updates or technical improvements, or to develop its content and/or presentation. Whenever possible, Ulteem shall inform its Members prior to maintenance work or updates.

 

7.2 Information and content supplied by Members

1. The information supplied by Ulteem Members must be accurate and true. The consequences of disclosing information on the life of a Member or of other Members are the sole responsibility of the Member concerned. It is the Member who takes the initiative to divulge and disseminate personal information, data, text, content and images via Ulteem. Consequently, you waive all recourse against Ulteem, notably on the basis of any possible damage to your image, honour and reputation or privacy resulting from the dissemination or disclosure of information concerning you under the conditions provided for in this agreement, in particular in Article 5 "Personal Privacy and Protection of Member Data", since you gave your prior, free and express consent to such disclosure by registering with the Service and in application of these Terms of Use.

2. Ulteem cannot be held liable for the accuracy or inaccuracy of the information and content provided by other Members, including their Certified Profile, site visitors and/or yourself, or for the consequences thereof. Similarly, Ulteem cannot be held responsible for content distributed by a Member that might contravene the rights of one or more other Members or third parties.

3. The quality demanded of the Ulteem psychological matching Service by both Ulteem and its Members necessitates compliance with certain ethical standards in Members' mode of expression and behaviour, respect of third parties' rights, and compliance with applicable laws and regulations. In the scope of this requirement for quality, individual responsibility and ethics, Ulteem allows Members to notify Ulteem, on the Ulteem site, of the data (photograph, text, video), behaviour or words of a Member, which seem to them to infringe applicable laws or regulations, the image or the purpose of the Ulteem Service, the rights of any third party, or general good standards. Consequently, Members acknowledge and accept that the data they provide, as well as their behaviour and words on the Service, may be notified by other Members, moderated and/or monitored by Ulteem, on the basis of objective assessment criteria. Where such notification or monitoring reveals a breach by a Member of any applicable laws or regulations or of his/her contractual obligations, the provisions of these Terms of Use, in particular the Article "Termination", may be applied.

4. In the case where the responsibility of Ulteem is pursued due to a breach by a Member of his or her obligations as defined in the scope of the law or by these Terms of Use, the Member undertakes to protect Ulteem against all judgments entered against it.

 

7.3 Links

Ulteem can supply or third parties may include hypertext links to other websites other than the Ulteem site and to Internet sources. As Ulteem is unable to supervise these external sites and sources, it cannot be held responsible for the availability of these external sites and sources, and cannot be responsible for their content, advertising, products, Services or any other element made available on or from any of these external sites or sources. Any difficulty relating to a hypertext link must be submitted to the administrator or Webmaster of the site to which it pertains. It should, furthermore, be noted that the consultation and/or utilisation of these external sites and sources are governed by their own Terms of Use.

Finally, if during the scope of a search performed on the Ulteem site where the result of this search points you to access sites, pages or forums of which the content and/or purpose constitutes a violation of French law, you must cease consultation of the site concerned in order to avoid being held responsible for such violation.

 

7.4 Limitation of liability

Ulteem can be held responsible by a Member only where certain and definitive proof is adduced before the courts demonstrating a wrongful act committed by Ulteem having caused that Member damage.

In this regard, Ulteem shall under no circumstances be liable for direct or indirect damage to the Member where the Member's behaviour contributed to the occurrence of the damage he or she claims to have suffered. By way of illustration, Ulteem shall not be liable for direct or indirect damage suffered by the Member in the event of non-performance or incorrect performance of these Terms of Use by the Member.

 

ARTICLE 8. Termination

 

Members may end their registration with Ulteem at any time and without the need to provide any reason by requesting the closure of their account in the specially designated area of the Ulteem Site. Such a request shall be deemed effective from the first working day after receipt by Ulteem of the request for closure of the account concerned. Such a request shall not trigger the reimbursement of any time remaining on the Member's Subscription.

Termination of a Subscription by a Member shall be effective on the Subscription expiry date.

Without prejudice to the other provisions hereof, if a Member commits a serious breach, Ulteem will terminate the Member's account without prior notification or warning. Such termination shall have the same effects as a termination by the Member.

Without prejudice to the other provisions hereof, if a Member commits a breach, Ulteem will terminate the Member's account seven (7) days after having sent an e-mail to the Member requesting that he or she comply with these Terms of Use, which remains unheeded.

Such termination shall take effect without prejudice to any damages that Ulteem might claim from the Member or his or her beneficiaries and legal representatives, in compensation of the harm suffered as a result of such breaches.

The Member will be informed by e-mail of the termination, or confirmation of the termination, of his or her account. Data relating to the Member will be destroyed at his/her request or upon expiry of the legal time period following the termination of the Member's account.

 

ARTICLE 9. Agreement between the Member and Ulteem

 

These Terms of Use, and the pages on the Ulteem site to which these terms refer, constitute an agreement that governs the relationship between you and Ulteem. They cancel and replace any conditions that may have been agreed to in the past, even if not directly withdrawn or amended, and constitute the entirety of the rights and obligations of Ulteem and you.

If any of the provisions of these Terms of Use is declared void in application of a law, a regulation, or a final decision of a court having proper jurisdiction, all other provisions shall remain fully in effect. Furthermore, failure by a Party to take action in respect of the breach by the other Party of any provisions of these Terms of Use, shall not be interpreted as constituting a waiver by said first Party of the right to take action in future in respect of such a breach.

 

ARTICLE 10. Amendments by Ulteem to the Terms of Use

 

Ulteem may amend these Terms of Use at any time. You will be informed of the nature of these amendments as soon as they are posted on the Ulteem site. The amendments shall take effect with regard to existing Members one month after their posting on the site. The amendments shall apply immediately to Members who register after their posting on the site inasmuch as they will have accepted them by becoming a Member. Members may find themselves in one or more of the following situations:

 

10.1 The Subscription originally taken out by the Member has not yet expired:

In such a case, you may demand that the Terms of Use in force at the time you obtained the Subscription continue to apply until the initial expiry date of the Subscription.

 

10.2 The initial term of the Subscription taken out by you has expired:

In this case, you may implement the procedure referred to in the Article "Termination" during the four (4) months following the date on which the new Terms of Use take effect. After this four-month period, the new Terms of Use shall be deemed to have been accepted by you unless you manifest your intention to terminate your account.

Members are therefore invited to read the most recent version online on the Ulteem site.

 

ARTICLE 11. Governing law - Jurisdiction

 

These Terms of Use shall be governed, construed and applied in accordance with French law. In the event of a dispute as to the meaning of a term or provisions of these Terms of Use, the language of interpretation shall be French.

 

ARTICLE 12. About us
